Terms of Service

These Terms of Service (“Terms”) govern your use of the OneTouch AI Solutions website and any services we provide. By accessing our site or engaging our services, you agree to be bound by these Terms.

This document is a starting template. Please review and customise it with your legal counsel before publishing.

Services

OneTouch AI Solutions provides AI consulting, development, and integration services. The specific scope, deliverables, timeline, and pricing for any engagement are defined in a written proposal or Statement of Work (“SOW”) agreed upon by both parties prior to work commencing.

Payments

Payment terms are specified in each SOW. Unless otherwise agreed, invoices are due within 14 days of issue. We reserve the right to pause work on outstanding balances and charge interest on overdue invoices at a rate of 1.5% per month.

Intellectual Property

Upon full payment, you own all custom code, models, and documentation we develop specifically for your engagement. Pre-existing tools, frameworks, and methodologies we use remain our property. Open-source components are governed by their respective licences.

Confidentiality

Both parties agree to keep confidential all non-public information shared during an engagement. We will not disclose your proprietary workflows, data, or business information to third parties without your written consent.

Data Handling

We handle client data as described in our Privacy Policy. We do not use client data to train AI models. Data processing agreements are available upon request for enterprise engagements.

Limitation of Liability

To the maximum extent permitted by law, OneTouch AI Solutions shall not be liable for indirect, incidental, special, or consequential damages arising from our services. Our total liability for any claim is limited to the fees paid in the 3 months preceding the claim.

Termination

Either party may terminate an engagement with 14 days written notice. You remain liable for payment for work completed up to the termination date. Provisions regarding IP, confidentiality, and limitation of liability survive termination.

Governing Law

These Terms are governed by the laws of the jurisdiction in which OneTouch AI Solutions is registered. Any disputes shall be resolved through good-faith negotiation, followed by binding arbitration if necessary.

Changes to These Terms

We may update these Terms from time to time. Continued use of our services after any update constitutes acceptance of the revised Terms.
